With over thirty years’ experience, his areas of specialisation include intellectual property, information technology, e-commerce, telecommunications and corporate law; as well as cases involving trade competition, corporate recovery and business reorganisation, foreign investment and mergers & acquisitions.
Not limited to just Thailand, with Myanmar opening its doors to foreign investors, Chavalit Uttasart has been involved in negotiating, structuring, documenting and managing large and important projects in Myanmar. These projects have often been sensitive and complex to say the least. Thus, he has substantial hands on experience in Myanmar.
Recent relevant transactions of significance include:
• Advising a large publically listed company on the purchase/financing from a conglomerate of local and international banks relating to: a cement factory with the investment budget of Baht 10 billion; a power plant that uses waste as a raw material and a power plant that receives waste heat from the cement factory (with the investment budget of Baht 4 billion in total); and a fiber-cement factory with the total investment value of the project being over Baht 10 billion.
• The expansion of a renowned international wholesaler, both in Thailand and Myanmar, involving an estimated investment of more than USD 1 billion.
• Broadcasting & media: advises clients in relation to the digital television broadcasting licence, television broadcasting licence and telecommunications licence; as well as disputes relating to broadcasting and telecommunications law.
• Representing a renowned bank, as the creditor, for a business reorganisation case relating to two debtors; of which debt amounted to approximately USD 205 million in total.
• Advising the leading container terminal operator at a port in Thailand relating to the protection of confidential information and trade secrets; as well as disputes relating to administrative law and the Official Information Act.
• Representing one of the largest hospitality, restaurant operator and luxury brand retailers to file an arbitration case; claiming damages on the amount of approximately Baht 70 million. Moreover, he represented the company in taking legal action against the wrongdoer on the grounds of malicious prosecution for the criminal case.
• Representing a client in a matrimonial dispute involving assets of over USD 1.5 billion.

Vira Kammee is a leading litigator with a broad practice encompassing criminal, civil, administrative, bankruptcy and business re-organisation, corporate, banking & finance, as well as real estate development and construction for various corporate clients. Over more than three decades of practice, he has also advocated on matters such as labour, administrative, intellectual property, civil and criminal laws. He appears frequently in the Court of Justice and the Administrative Court as lead counsel, and he has represented many local and foreign institutions in corporate and commercial dispute resolution matters. In addition to practicing law, Vira Kammee has gained considerable experience in teaching law students and supervising lawyers of the firm.
Vira Kammee combines dispute work with advisory work in relation to very complex real estate transactions. Recent experience includes representing a major public rubber company in relation to a marine insurance claim, with the decision going in favour of our client; a litigation case, dealing with a renowned international warehouse company and another big local warehouse company on administrative cases; acquisition of property litigation; litigation in relation to business reorganisation matters in Thailand, which was ongoing for over a decade; civil dispute relating to breach of contract; tortious claims and criminal actions in relation to corporate misconduct; security fraud in dissolving a joint venture; and countless labour disputes. Over the years, Vira Kammee has been regarded as a leading authority in the litigation process, and he has set precedents for matters in The Supreme Court of Thailand.
With vast experience in his field, Vira Kammee is often invited as a speaker at conferences, both in Thailand and abroad, in the areas of business reorganisation relating to cross-border joint venture transactions; compliance with the Foreign Business Act; as well as real estate and dispute resolution. Vira Kammee’s local expertise has contributed greatly to the legal development in the areas of litigation and real estate matters in Thailand over the last three decades.
Pro Bono and Other Activities
In conjunction with his legal practice, Vira Kammee was also a lecturer at the Institute of Advocacy Training of the Lawyers Council of Thailand and at the Faculty of Law, Bangkok University; and a Permanent Honorary Advisor to the House of Senate Committee of Education and Sport.
With this vast experience in the legal field, it is only natural that Vira Kammee was appointed by the chairmen of various committees to be on such committees, i.e. Committee of the House of Representatives (HR); Sub-committee for People Involvement in Media; and Political and Sub-committee of the House of Senate (HS) for Sports and Education. He was Chairman of the Committee for the LAW Magazine of the Thammasat University Law Association and Chairman of the Legal Standing Committee of the Football Association of Thailand (FAT). Currently, he is on the Appeals Committee of the Thai Premier League (TPL), a private and the sole authorised organisation for FAT professional competitions.

She has represented both juristic and individual sellers, buyers, landlords and tenants, both domestic and international, in connection with an extensive range of contracts, including purchase and sale agreements, leases, real estate development agreements, option agreements and maintenance agreements.
Additionally, Amita advises clients and provides practical planning services with respect to various national and local tax issues and rulings, with an emphasis on tax issues associated with real estate and contractor businesses. Real Estate
Our experienced team of lawyers provide the full range of services in connection with a purchase or sale of land, house or condominium either by an individual or company which extends to the full range and scale of real estate matters, including assisting clients in acquisition, disposal, lease, usufruct, right of servitude, mortgage and development planning for private and commercial properties. Due Diligence: This should be conducted at the outset of any purchase and prior to signing of agreements to ensure that a Seller has correct and legal title to transfer the property.
Acquisition and Disposal: Buying and selling residential and commercial property in Thailand, and providing advice in respect thereof.
Real Estate Leasing: We provide advice and leasing agreements on all aspects of residential and commercial leasing.
Registration and Transfer: We will attend at the Land Office to ensure correct transfer and registration of property.
Development Planning: Providing advice on planning a new development or project, including land acquisition and structuring of the development or project.
Usufruct, mortgage, right of servitude: We will provide advice on any such aspect if required and proceed to registration at the Land Office.

Administration of Estates
Upon death, an application by way of a Motion should be made to the Court to either appoint an Administrator if the estate is intestate or appoint the Administrator named in the Will of the deceased.
Our dedicated team of lawyers can assist in advising on the documents required to be submitted to the Court, submit the application and accompanying papers to the Court, and then attend with you at Court on the appointed Court date.
Following the granting of the Order for Administration by the Court we can continue to provide invaluable assistance to the Administrator to enable the terms of the Will to be carried out in accordance with the wishes of the deceased.
Visa & Work Permit
We assist clients in applying for visas and work permits.
Pre-Nuptial Agreements
A pre-nuptial agreement protects the assets of individual spouses on separation/divorce and should be registered at the same time as the marriage.
We can provide sound and practical advice on the structuring of pre-nuptial agreements dependent on individual requirements.
If required, one of our Thai lawyers can accompany you to lodge the pre-nuptial agreement on the date of registration of the marriage to ensure that the agreement is accepted and properly recorded.
Companies and Transfer of Shares
We can provide expert advice on the forming of Thai companies, transfer of company shares and directorships pursuant to the relevant rules and regulations prevailing.
As part of our overall process on transfer of shares in a company, we will conduct due diligence on the company and any property owned by the company to ensure that the company has all paperwork and documents as required by the Civil and Commercial Code of Thailand, all company assets are properly recorded in the balance sheet and all company taxes have been paid.
Formation of Juristic Person
The formation of a Juristic Person is a complex, lengthy and drawn out procedure requiring the knowledge and expertise of professionals who understand all the legal requirements.

Estate Planning & Wills
Proper estate planning is not just important in your home country, but also in Thailand. From the cradle onwards we are encouraged to plan ahead, and it makes sense, to ensure that the assets you have worked hard for during your life time are to be inherited by those you think are deserving of them and not distributed under the Intestacy Rules.
If assets are purchased in joint names in Thailand, then the share of each owner does not automatically pass to the survivor/s. For example, if you die in Thailand without a Will, then your spouse is automatically entitled to only half of the marital property and the highest ranked statutory heirs – relatives of the deceased are eligible to inherit from you the remaining half of the estate equally.
Although the Court in Thailand can be asked to prove a Will drawn up outside of Thailand, there is no guarantee that this document will be approved by the Court, if the Court perhaps considers it contrary to Thai policy.
It is therefore important for a Will to be correctly and legally drawn up to safe guard your interests and investments in Thailand. Our experienced team of lawyers can give sound advice on the structuring of your Will dependent on individual requirements.
